Client agreement
Terms and conditions governing your Poly Rion account. Last revised 2026 — draft pending legal review.
1. Introduction
1.1. These Terms and Conditions form part of the Client Agreement between Poly Rion ("Poly Rion", "the Company", "we", "us") and the person who opens an account with us ("the Client", "you"). They govern every service we provide to you, including trading in margin foreign-exchange contracts and contracts for difference ("CFDs") through our Trading Platform, website, client portal and mobile applications.
1.2. The Client Agreement consists of these Terms and Conditions, our Risk Disclosure, Privacy Policy, AML & KYC Policy, the trading conditions published on our website for each account type, and any other document we tell you forms part of it. If documents conflict, these Terms and Conditions prevail unless the other document expressly states otherwise.
1.3. All services are subject to the laws and regulations that apply to us and to you. We do not give legal, tax, investment or accounting advice, and nothing on our website or platforms should be read as such advice.
1.4. You agree that we may deliver this agreement, any amendments, statements, confirmations and notices electronically — by e-mail, through the client portal, inside the Trading Platform or on our website — and that electronic delivery has the same effect as delivery on paper.
1.5. Opening an account is at our discretion. We assess every application and may decline one without giving a reason. Current trading conditions, specifications and fees for each instrument and account type are published on our website and in the Trading Platform.
1.6. We do not offer services to residents of jurisdictions where doing so would breach local law or where we have chosen not to operate. The current list of restricted jurisdictions is published on our website and may change at any time.
2. Principles of interaction
Principle
2.1. We may offer several account types with different trading conditions. You choose the account type when opening the account; the conditions applicable to it are those published at the time of each transaction.
2.2. We deal with you as principal and not as agent for anyone else. Unless agreed in writing, we treat you as our client for all purposes, even if you act on behalf of someone else.
2.3. We will not open an account for anyone under 18 or under the age of legal capacity in their jurisdiction, for anyone acting on behalf of a third party without our written consent, or where we believe the account would be used for unlawful purposes.
Placing an order
2.4. All instructions are given through the client portal and the Trading Platform using your credentials. We are entitled to act on any order received under your login, and you are responsible for every such order.
2.5. An order becomes binding only when the trading server has accepted it and a confirmation is shown in your account. Prices displayed on screen are indicative until execution, and an order may be rejected or filled at a different price in fast or illiquid markets.
Advice
2.6. Any market commentary, analysis, signal or educational material we provide is general information. It does not take your objectives, financial situation or needs into account and is not a recommendation to trade.
2.7. No employee or representative of Poly Rion is authorised to manage your account, trade on your behalf or promise you a return. Report any such offer to us immediately.
All trades at your risk
2.8. You trade at your own risk. You are solely responsible for evaluating each transaction and for the decision to enter into it. We are not obliged to check whether a transaction is suitable for you, to monitor your positions or to warn you of market movements.
Anti-money laundering and know your client
2.9. We are required to verify your identity, address and, where appropriate, the source of your funds. You agree to provide any documents and information we reasonably request, and that we may share them with competent authorities and service providers where the law requires.
2.10. You confirm that the money you deposit is not derived from criminal activity and that you are not subject to any sanctions. We may freeze, reject or return funds and restrict your account while a check is outstanding.
Recording of communications
2.11. You consent to us recording telephone calls, chats and electronic communications with you. Recordings are our property and may be used as evidence in any dispute, for training and for regulatory purposes.
Marketing
2.12. Promotions and bonuses may differ between clients and are governed by their own published terms. We may refuse, withhold or withdraw a promotion, and cancel any benefit obtained from it, if we believe its terms have been abused.
Our discretions
2.13. Where this agreement gives us a discretion, we will try to exercise it reasonably, taking into account our legal obligations, market conditions and the need to protect you, us and other clients. We are not obliged to give reasons for a decision unless the law requires it.
3. Trading account
Registration and account opening
3.1. To use our services you must register in the client portal and then open one or more trading accounts. Each person may hold only one verified client profile.
3.2. You must complete verification within thirty (30) days of registration. Until verification is complete we may limit deposits, trading and withdrawals, and we may close an unverified profile after that period.
3.3. You must ensure all information you provide is true, accurate and complete, and update it promptly if it changes or a document expires.
3.4. Your username, password and two-factor authentication device ("Credentials") must be kept confidential. You are responsible for all activity carried out with your Credentials and must notify us immediately if you suspect they have been compromised.
3.5. We may limit, suspend or close access to your profile or account if we suspect unauthorised access, a breach of this agreement or unlawful activity.
Multiple trading accounts
3.6. Each trading account is administered separately. We may set off any amount you owe on one account, including a negative balance, against funds held in any of your other accounts or wallets with us.
Base currency
3.7. You choose the base currency of each account when you open it. Deposits, withdrawals and profits in another currency are converted at our prevailing rate, and conversion costs are borne by you.
4. Deposits and withdrawals
4.1. You may fund your wallet using the payment methods shown in the client portal. Deposits must come from an account or card held in your own name; third-party payments will be returned and may be subject to fees.
4.2. Withdrawals are made only to verified payment methods in your name, normally the same method used to deposit, and in proportion to the amounts deposited by each method. Profits may be paid by another method we approve.
4.3. Processing times shown in the portal are our internal processing times. Payment providers and banks may take longer, and we are not responsible for their delays or charges.
4.4. We may delay or refuse a withdrawal while verification is incomplete, while an investigation is in progress, or where the requested amount would leave your account without sufficient margin for open positions.
Chargeback
4.5. If you raise a chargeback or payment dispute for a deposit that has been credited to your account, we may freeze your account, close open positions, reverse any profit associated with the disputed funds and recover our costs from your balance.
Transfers
4.6. You may transfer funds between your own wallets and trading accounts through the client portal. Transfers to other clients are only permitted where we offer that feature and are subject to the same AML checks as withdrawals.
5. Instructions and dealing
Instructions and communications
5.1. Orders may only be placed through the Trading Platform. We may, but are not obliged to, accept instructions by other means. If the platform is unavailable you may contact support, who may close positions on your request after verifying your identity.
5.2. We may refuse an order without giving reasons, in particular if it would exceed available margin, breach position limits, or if we suspect abuse.
Market disruption
5.3. If a market is suspended, closed, or affected by an event that prevents fair pricing, we may suspend trading in the affected instrument, change margin requirements, close positions at a fair price we determine, or take any other step we consider reasonable.
Material error
5.4. If a transaction is executed at a price that is clearly wrong because of a technical or human error, an erroneous price feed or a platform malfunction, we may void the transaction, amend it to the correct price, or close it. We will notify you of any such action as soon as practicable.
6. Fees and charges
Costs
6.1. You agree to pay the spreads, commissions, swap (overnight financing) charges and other fees applicable to your account type, as published on our website and in the Trading Platform at the time of each transaction.
Payment
6.2. Fees are deducted automatically from your account balance. We may change our fees at any time; changes apply from the date published unless we notify you otherwise.
Netting
6.3. If amounts are payable both by you and by us on the same day in the same currency, they may be netted so that only the difference is paid.
7. Intellectual property
Trading platform and software
7.1. All rights in the Trading Platform, client portal, mobile applications, website and any software we make available remain with Poly Rion or its licensors. We grant you a personal, non-exclusive, non-transferable licence to use them solely for trading on your own account.
7.2. You must not copy, modify, reverse-engineer, decompile or resell any part of our software, or use it to build a competing product.
Automated trading tools
7.3. If you use expert advisors, bots or other automated tools, you do so at your own risk. We are not responsible for losses caused by their logic, configuration or failure, and we may restrict tools that place an excessive load on our systems.
Analytical tools, market data and third-party content
7.4. Charts, quotes, news and analysis — including content supplied by third parties — are provided for information only. We do not guarantee their accuracy, completeness or timeliness and may not be liable for decisions made in reliance on them. You may not redistribute this content.
8. Events of default
8.1. Each of the following is an Event of Default: you fail to pay any amount when due or to maintain sufficient margin; you breach this agreement; information you provided is false or misleading; you become insolvent, die or lose legal capacity; or we reasonably believe that action is needed to protect us, you or other clients, or to comply with the law.
What action we may take
8.2. On an Event of Default we may, without prior notice: close some or all open positions at current prices; cancel pending orders; set off amounts you owe against your balance; suspend or terminate your account; and recover any costs incurred.
Stop out and closing positions
8.3. If your margin level falls to or below the stop-out level for your account type, the Trading Platform will automatically close positions, starting with the most unprofitable, until the margin level is restored. We are not obliged to issue a margin call before doing so.
8.4. We may also void or close any position that we reasonably believe was opened in breach of this agreement, and cancel any profit resulting from it.
Suspension of the client portal
8.5. We may suspend your access to the client portal or Trading Platform while we investigate a suspected breach. During suspension you may be unable to open new positions or withdraw funds.
9. Prohibited practices
Prohibited trading approaches
9.1. You must not use the platform to exploit price latency or delayed quotes, arbitrage between our prices and other sources, hedge across related accounts to abuse bonuses or negative balance protection, or use any strategy designed to take advantage of system errors rather than genuine market movements.
Unlawful trading techniques
9.2. Market manipulation, the use of inside information, coordinated trading with other clients, and the use of software that interferes with our systems are strictly prohibited.
Fraudulent activity
9.3. Opening multiple profiles, using another person's identity or payment method, generating fake referral or partner traffic, or any other fraudulent conduct entitles us to close your accounts, cancel profits and commissions, and report the matter to the authorities.
Compliance with the law
9.4. You must comply with all laws that apply to you, including tax laws. You are solely responsible for reporting and paying any tax on your trading profits.
10. Limitation of liability and indemnity
Limitation of liability
10.1. To the fullest extent permitted by law, Poly Rion is not liable for any loss arising from: market movements; delays or failures of the internet, your devices or third-party systems; acting on instructions given with your Credentials; unauthorised access caused by your failure to keep Credentials secure; or any event outside our reasonable control.
10.2. We are not liable for indirect or consequential loss, loss of profit or loss of opportunity. Our total liability to you in connection with this agreement is limited to the amount of fees you paid us in the twelve months before the claim, except where the law does not permit such a limit.
Indemnities
10.3. You agree to indemnify Poly Rion, its officers and employees against any loss, cost or claim arising from your breach of this agreement, your violation of any law, or any action taken by us in good faith on your instructions.
Survival
10.4. These limitations and indemnities continue to apply after this agreement ends.
11. Warranties and representations
Client's warranties
11.1. You confirm, each time you place an order, that: you are of legal age and have full capacity to enter into this agreement; you act on your own behalf; the information you have given us is accurate; your funds are lawfully obtained; you understand the risks of leveraged trading; and using our services does not breach any law applicable to you.
12. Client data
Personal information
12.1. We collect and process your personal data in accordance with our Privacy Policy, for the purposes of providing our services, complying with legal obligations and protecting against fraud.
Client content
12.2. Content you submit to us — such as support messages, reviews or community posts — must not be unlawful or offensive. You grant us a licence to use such content in connection with operating our services.
13. Notices
When notices are received
13.1. Notices from us may be sent by e-mail, displayed in the client portal or Trading Platform, or published on our website. A notice is treated as received when it is sent or published. Notices from you should be sent through a support ticket in the client portal.
14. Amendment and termination
Current version
14.1. The version of this agreement published on our website is the version in force. You should review it periodically.
Amending these terms
14.2. We may amend this agreement at any time. Material changes will normally be notified in advance; changes required by law or that are in your favour may take effect immediately. Continuing to use our services after a change takes effect means you accept it.
Termination
14.3. You may close your account at any time by notifying us through the client portal, provided all positions are closed and no amounts are owed. We may terminate this agreement by giving you notice, or immediately on an Event of Default.
14.4. On termination we will close any remaining positions, deduct amounts owed, and return the remaining balance to you by an approved withdrawal method, subject to our verification and AML obligations.
15. Force majeure
Force majeure event
15.1. A Force Majeure Event is any event outside our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, market suspensions, failure of exchanges, liquidity providers, banks or payment systems, power or communication failures, and cyber-attacks.
Notice and suspension
15.2. If a Force Majeure Event occurs, we will take reasonable steps to inform you, and our obligations under this agreement are suspended for as long as the event continues.
Actions we may take
15.3. During a Force Majeure Event we may change margin requirements, close positions at prices we consider fair, suspend trading or withdrawals, or take any other action we reasonably consider appropriate.
16. Dispute resolution
Informing us about disputes
16.1. If you have a complaint, open a support ticket in the client portal describing the issue, the account number and the relevant order or transaction IDs. Complaints about a specific trade should be raised within five (5) business days of the trade.
16.2. We will acknowledge your complaint promptly and aim to give a final response within thirty (30) days. Server logs held by us are the primary evidence for resolving trading disputes.
17. Miscellaneous
Governing law and jurisdiction
17.1. This agreement is governed by the laws of the jurisdiction in which the contracting Poly Rion entity is incorporated, and the courts of that jurisdiction have exclusive jurisdiction over any dispute. Entity and licence details will be published on our About page.
Assignment
17.2. You may not assign or transfer your rights under this agreement without our written consent. We may assign our rights to an affiliate or successor on notice to you.
Rights, remedies and waiver
17.3. Our rights under this agreement are in addition to any rights we have by law. A delay or failure to exercise a right is not a waiver of it.
17.4. If any provision is found to be illegal or unenforceable, the remaining provisions remain in full force. No third party has any right to enforce this agreement.
